Item 8.01 Other Events.
On February 10, 2005, Corrections Corporation of America (the Company) delivered notice to PMI Mezzanine Fund, L.P. (PMI), the holder of the Companys outstanding 4.0% convertible subordinated note due 2007 in the principal amount of $30,000,000 (the Note), notifying PMI that the Note (which is subject to mandatory conversion beginning on March 1, 2005) will be converted on that date into an aggregate of 3,362,467 shares of the Companys common stock.
