Item 9. Regulation FD Disclosure.
On June 19, 2003, Genesco Inc. issued a press release announcing the pricing of its $75,000,000 aggregate principal amount of 4.125% Convertible Subordinated Debentures due 2023 to qualified institutions buyers pursuant to Rule 144A under the Securities Act of 1933, plus an additional $11,250,000 of Convertible Subordinated Debentures due 2023 that may be issued at the option of the initial purchasers.
