Item 7.01 - Regulation FD Disclosure
     At the annual shareholder meeting of Intermountain Community Bancorp held yesterday, April 23, 2008, the Company announced that given current conditions and the need for flexibility in the Company’s capital structure, management does not anticipate recommending a stock dividend declaration during 2008.
