Mr. Ruhi Dogusoy, who has been Turkcell's Chief Operating Officer since October 1, 1999 will be leaving our company as of March 31, 2006. This operational function will be structured as two different functional groups. According to this change, Ilter Terzioglu, who has been performing as Head of Business Strategies Regulation and Risk Consolidation since December 1, 2003 and Cenk Bayrakdar, who has been performing as Head of Content Services and Partnering since January 1, 2002 have been appointed as Chief Network Operations and Regulations Officer and Chief Services and Product Development Officer, as of April 1, 2006.

We hereby confirm that the above-mentioned explanations are furnished as per the provisions of the Communiqué Serial no VIII/39, that they reflect all information we have gathered so far, that they are in accordance with our corporate documents, that we have used all endeavours to collect the complete and true related information and that we assume the responsibility for this disclosure.
