(the "Fund") filed definitive proxy materials on Schedule 14A in connection with the Fund's upcoming Annual Meeting of Stockholders to be held on June 20, 2006 (the "Meeting"). The Fund's definitive proxy statement (the "Statement") describes five proposals that are expected to come before the Meeting. The proposals identified as Proposal 3 and Proposal 4 in the Statement were incorrectly ordered on the form of proxy as filed on April 21. The form as mailed is correct.
