Item 1.01 Entry into a Material Definitive Agreement.
Effective as of April 1, 2009, Healthways, Inc. (the Company) and its wholly owned subsidiary, American Healthways Services, Inc. (AHSI), entered into a settlement agreement (the Agreement) with the United States of America, acting through the United States Department of Justice and on behalf of the Department of Health and Human Services (collectively, the United States), and a former employee in connection with the settlement of a qui tam lawsuit filed in 1994 by the former employee on behalf of the United States government related to the Companys former Diabetes Treatment Center of America business.
Consistent with the previous approval of the settlement by the Companys Board of Directors (reported in the Companys Current Report on Form 8-K filed with the Securities and Exchange Commission on March 13, 2009), the Company has agreed pursuant to the Agreement to pay $28 million to the United States in settlement of the foregoing litigation within seven business days of the effective date of the Agreement. In consideration for such payment, the parties to the Agreement have agreed to release the Company and its affiliates, including AHSI, with respect to the claims alleged in the lawsuit as set forth in the Agreement. As previously disclosed, in addition to the amounts payable by the Company pursuant to the Agreement, the Company has incurred a charge in the first quarter of 2009 of an additional $12 million for other costs and fees related to the settlement, including the estimated legal costs and expenses of the plaintiffs attorneys.
