PART III — NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
StoneMor Partners L.P. (the “Partnership”) was unable to file its Quarterly Report on Form 10-Q for the fiscal quarter ended September 30, 2018 (the “September 30 Form 10-Q”) by the prescribed filing deadline (November 9, 2018) without unreasonable effort or expense because the preparation and filing of the Partnership’s Annual Report on Form 10-K for the fiscal year ended December 31, 2017, which was filed on July 17, 2018, took longer than expected and, as a result, the Partnership has not yet been able to file its Quarterly Report on Form 10-Q for the fiscal quarter ended March 31, 2018 (the “March 31 Form 10-Q”) or the fiscal quarter ended June 30, 2018 (the “June 30 Form 10-Q”). The Partnership is working to finalize its financial statements to be included in its March 31 Form 10-Q and June 30 Form 10-Q. In that regard, the September 30 Form 10-Q will not be filed until after the March 31 Form 10-Q and the June 30 Form 10-Q are filed. Accordingly, the Partnership was unable to file its September 30 Form 10-Q by the prescribed filing deadline (November 9, 2018) without unreasonable effort or expense. The Partnership will file the June 30 Form 10-Q as promptly as practicable after the March 31 Form 10-Q is filed and will file the September 30 Form 10-Q as promptly as practicable after the June 30 Form 10-Q is filed.
