(1)	Azure Midstream Holdings LLC ("Azure Holdings") is the sole member of Azure Midstream Energy LLC("Azure"). Pursuant to the terms of the Contribution Agreement dated as of August 6, 2015, Azure acquired an aggregate 255,319 Common Units and cash consideration for 100% of the membership interest in Azure ETG, LLC.
Remarks: Azure is the sole member of Azure Midstream Partners GP, LLC, the general partner of the Issuer (the "General Partner"). Azure has the right to appoint all of the directors of the General Partner; therefore, Azure Holdings, as the sole member of Azure, may be deemed a director by deputization for purposes of Section 16 of the Securities Exchange Act of 1934, as amended.
