Item 1.01            Entry into a Material Definitive Agreement

 

On October 14, 2014, we entered into a letter agreement with Sabby Healthcare Volatility Master Fund, Ltd. and Sabby Volatility Warrant Master Fund, Ltd. with respect to the payment to them of a warrant exercise fee of $0.075 per share for each share purchased upon exercise of Series A or Series C Common Stock Purchase Warrants (“Warrants”) held by them. Each of these parties holds Warrants to acquire an aggregate of 2,666,666 shares of our common stock. They agreed to exercise Warrants equal to 9.98% of the outstanding shares of GeoVax (1,588,000 shares each) upon execution of the letter (the “Minimum Purchase”).

 

The warrant exercise fee above will be paid three (3) business days after we receive the cash proceeds of the Minimum Purchase and within three (3) business days after we receive the cash proceeds from other Warrants exercised by them prior to the effective date of any notice of termination. We reserved the right to revoke this warrant exercise fee arrangement as to any unexercised Warrants upon five (5) business days’ notice.
