Item 5.07 Submission of Matters to a Vote of Security Holders
On June 10, 2015, Cerus Corporation (the Company) held its 2015 Annual Meeting of Stockholders (the Annual Meeting). The following is a brief description of each matter voted upon at the Annual Meeting, as well as the number of votes cast for or against each matter and the number of abstentions and broker non-votes with respect to each matter. A more complete description of each matter is set forth in the Companys definitive proxy statement filed with the Securities and Exchange Commission on April 30, 2015 (the Proxy Statement).
Proposal 1
The Companys stockholders elected each of the two nominees for director to the Board of Directors to hold office until the 2018 Annual Meeting of Stockholders or until his respective successor has been elected and qualified.

Proposal 2
The Companys stockholders approved an amendment and restatement of the Companys 2008 Equity Incentive Plan, as amended, to increase the aggregate number of shares of common stock authorized for issuance thereunder by 5,000,000 shares and to make certain other changes thereto as described in the Proxy Statement.
