Item 1. Description of Registrant’s Securities to be Registered.
A description of the shares of common stock, par value $0.01 per share, of Paycom Software, Inc. (the “Company”) being registered hereunder is set forth under the caption entitled “Description of Capital Stock” in the Company’s Registration Statement on Form S-1 (File No. 333-194462), as initially filed with the Securities and Exchange Commission on March 10, 2014, as amended (the “Registration Statement”), and in the prospectus included in the Registration Statement to be filed separately by the Company with the Securities and Exchange Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, which prospectus shall be deemed to be incorporated by reference herein.
