On December 2, 2013, Sprouts Farmers Market, Inc. (the “Company”) issued a press release announcing the closing of an underwritten public offering of 19,550,000 shares of common stock, including 2,550,000 shares of common stock issued as a result of the exercise in full of the underwriters’ option to purchase additional shares, by affiliates of Apollo Global Management, LLC and certain other stockholders of the Company (collectively, the “Selling Stockholders”) at a public offering price of $37.00 per share. The Selling Stockholders will receive all of the proceeds from the offering. A copy of the press release is being filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
