The Board has determined that the proposed Reorganization would be in the best interests of each Fund. The Acquiring Fund and the Target Fund have similar investment objectives and policies, substantially similar portfolio compositions and are managed by the same portfolio manager. The proposed Reorganization is intended to result in lower total operating expenses per common share (excluding the costs of leverage) due to economies of scale resulting from the larger size of the combined fund and to enhance the secondary trading market for common shares of the Acquiring Fund as a result of the greater share volume of the combined fund.
