Fiscal 2012 Bonus Determinations
On March 27, 2013, the Compensation Committee of the Board of Directors of Central Garden & Pet Company (the Company) approved cash bonus payments to certain of the Companys named executive officers in respect of fiscal 2012. This bonus compensation information was not included in the Summary Compensation Table included in the Companys Proxy Statement for its 2013 Annual Meeting of Stockholders, filed with the Securities and Exchange Commission on January 11, 2013 (the Proxy Statement), because the amount of the bonuses had not been determined at the time of filing the Proxy Statement. In accordance with Item 5.02(f), the table below updates the Bonus and Total columns in the fiscal 2012 summary compensation table for the named executive officers previously set forth in the Proxy Statement. No other amounts have changed.

Fiscal 2012 Annual Bonus
The Compensation Committee determines the actual amount of bonus awarded to each named executive officer after the end of each fiscal year primarily by considering the financial results of the Company for the given year and the officers individual performance and contribution to the Company. The bonus may be paid in cash or equity. The Committee generally sets potential target bonuses for each named executive officer at the beginning of each fiscal year as a percentage of his or her base salary. The target bonus percentages are generally set at a level which the Committee believes will assure that the executives total compensation opportunity is attractive enough to motivate superior performance and that the executive is focused on key objectives, as well as being competitive with amounts paid for similar performance in comparable executive positions by the Companys peer companies.
Beginning in early 2013, the Committee met several times to consider bonuses based on the Companys performance in fiscal 2012. The following table sets forth the target bonus and actual bonus paid to the named executive officers for fiscal 2012:

In determining whether to award bonuses to the named executive officers for fiscal 2012, the Committee considered the Companys disappointing financial performance in fiscal 2012, as measured by EBIT and earnings per share, among other factors, as well as progress made during fiscal 2012 in implementing the Companys transformational change initiative. The Committee

also considered individual performance. The Committee considered each of these measures against the comparable prior year performance and the Companys plan for fiscal 2012, as opposed to particular pre-determined targets or similar metrics within the Companys industries. Because of the disappointing financial performance in fiscal 2012, the Committee did not award a bonus to Mr. Brown. Because of the disappointing financial performance in fiscal 2012 and the transition of Mr. Halas and Mr. Palantoni to consulting positions in 2013, the Committee did not award bonuses to either Mr. Halas or Mr. Palantoni. Bonuses were awarded to Mr. LaMonte and Ms. Varlas for their individual efforts during fiscal 2012, including their work in implementing the Companys transformational change initiative.
