Item 8.01

Other Events.

On November 27, 2009, Autoliv, Inc. issued a press release announcing that its credit rating had been upgraded by both Standard and Poor’s and Moody’s Investor Service. Standard and Poor’s upgraded Autoliv’s credit rating to “BBB/A-2 with a stable outlook” from “BBB-/A-3 with a stable outlook” while Moody’s Investor Service revised their outlook to “stable” from “negative” while the credit rating remained P-2.
