Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 2, 2007, Eric C. Fast resigned from the board of directors of Convergys Corporation (the “Company”), effective immediately, citing the demands of his responsibilities as President and Chief Executive Officer of Crane Co. Mr. Fast, a director since 2000, was serving on the Governance and Nominating Committee and Compensation and Benefits Committee, and timed his resignation to coincide with the Company’s successful transition of Chief Executive Officers. Mr. Fast did not resign because of a disagreement with the Company on a matter relating to the Company’s operations, policies or practices.
