Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

(d) Pursuant to the Regulations of Convergys Corporation, effective August 22, 2006, its Board of Directors increased the number of directors from 11 to 12 and elected David F. Dougherty as a Class II director whose term expires in 2009. Mr. Dougherty, 50, is the President and Chief Operating Officer of Convergys Corporation.
