Item 5.02: Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
Effective July 13, 2006, the Company’s Board of Directors elected Roger J. Steinbecker to hold office as Director until the next Annual Meeting of Shareholders. There is no special arrangement or understanding between Mr. Steinbecker and any other person under which he was selected to serve as a Director. Mr. Steinbecker was appointed to serve on the Board’s Investment & Finance Committee and Audit Committee.
Prior to his retirement in 2001, Mr. Steinbecker served as a Managing Partner of PricewaterhouseCoopers LLP. Mr. Steinbecker has over 40 years of experience in the accounting and auditing profession.
