Item 1.01. Entry Into a Material Definitive Agreement.

 

On January 27, 2006, the Compensation Committee of the Board of Directors of Computer Programs and Systems, Inc. (the “Company”) approved a grant of shares of restricted stock, effective January 30, 2006, pursuant to the Company’s 2005 Restricted Stock Plan, as amended and restated, to certain executive officers of the Company, including the Chief Executive Officer and the next four most highly compensated executive officers. A copy of the form of Restricted Stock Award Agreement is included with this Current Report on Form 8-K as Exhibit 10.1.
