Item 2.02. Results of Operations and Financial Condition.

On April 5, 2010, Measurement Specialties, Inc. (the “Company”) issued a press release announcing preliminary figures regarding the Company’s bookings and sales results for the fourth quarter of fiscal year 2010. The bookings and sales figures are preliminary and are subject to change until the point in time at which the Company files its Annual Report on Form 10-K for the fiscal year ended March 31, 2010 with the Securities and Exchange Commission. The press release is furnished hereto as Exhibit 99.1.
