Results of Operations and Financial Condition.

On March 15, 2010, China Education Alliance, Inc., a North Carolina corporation, (the “Company”) released its results of operations for the fourth quarter and fiscal year ended December 31, 2009, a copy of which is annexed hereto as Exhibit 99.1.
