Changes in Registrant's Certifying Accountant On October 24, 2006, Robison, Hill & Co., the Company's principal independent accountant, was dismissed by the Board of Directors, and E. Randall Gruber, CPA, PC was engaged to audit the Company's financial statements. The former accountant's report on the Company's financial statements for the past two fiscal years, March 30, 2006 and 2005, did not contain an adverse opinion or disclaimer of opinion, but the report did refer to Note 1 to the financial statements which stated, in pertinent part, that "the Company has suffered recurring losses from operations and has a net capital deficiency that raise substantial doubt about its ability to continue as a going concern. The financial statements do not include any adjustments that might result from the outcome of this uncertainty." There were no disagreements with the former accountant on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure during the two most recent fiscal years ended March 30, 2006 or during the interim period ended October 24, 2006, nor were there any reportable events during those periods. The Company did not consult with E. Randall Gruber, CPA, PC during the past two fiscal years or during the interim period ended October 24, 2006 regarding the application of accounting principles to a specific completed or contemplated transaction, or the type of audit opinion that might be rendered, and neither written nor oral advice was provided as to an accounting, auditing or financial reporting issue. The Company has requested Robison, Hill & Co to review the foregoing disclosure and to provide the Company with a letter addressed to the Securities and Exchange Commission ("Commission") stating whether it agrees with the statements made and, if not, the respects in which it does not agree.
