Item 7.01
Regulation FD Disclosure.

On August 12, 2008, Houston American Energy Corp. issued a press release announcing operating results for its second quarter and the six months ended June 30, 2008 and the declaration of a cash dividend.  A copy of the press release is attached hereto as Exhibit 99.1.
