(b) On February 24, 2005, Stuart W. Stedman informed the Board of Directors that he will not stand for re-election as director of the Company for personal reasons. Mr. Stedman has been a director of the Company since it went public in August 1996 and will continue to serve on the Compensation, Audit and Corporate Governance committees until his term expires on the date of the Company’s next annual stockholders meeting in May 2005.
