Item 8.01. Other Events.
On September 2, 2004, Price Legacy Corporation, a Maryland corporation (the Company), issued a press release announcing the redemption of 1,562,500 shares of its 8¾% Series A Preferred Stock. A copy of the press release is attached hereto as Exhibit 99.1.
On September 2, 2004, the Company announced the filing in the Superior Court of California, County of San Diego, of two purported class action complaints against the Company and each current member and one past member of the Companys Board of Directors. The complaints allege breaches of the defendants fiduciary duty to the Companys stockholders in connection with the recently announced merger agreement pursuant to which the Company will be acquired by PL Retail LLC, a joint venture between Kimco Realty Corporation and DRA Advisors LLC. The complaints challenge the sufficiency of the merger consideration and seek to enjoin the merger transaction and unspecified damages from the defendants. A copy of the press release is attached hereto as Exhibit 99.2.
