Item 1.01 Entry into a Material Definitive Agreement.
On February 15, 2006, the Compensation and Management Development Committee of the Board of
Directors of American Greetings Corporation approved base salary increases, effective retroactively
to June 1, 2005, for each of Zev Weiss, the Chief Executive
Officer, and Jeffrey Weiss, the Chief
Operating Officer. Their base salaries were increased to $700,000 for Zev Weiss and to $575,000
for Jeffrey Weiss.
