Item 1.01 Entry Into A Material Definitive Agreement

     On July 22, 2005, at the Annual Meeting of Shareholders of DATATRAK International, Inc. (the “Company”), the shareholders of the Company approved the DATATRAK International, Inc. 2005 Omnibus Equity Plan (the “Omnibus Plan”), which was previously approved by the Compensation Committee of the Board of Directors and further approved and adopted by the Board of Directors of the Company on May 3, 2005, subject to shareholder approval. The Omnibus Plan became effective upon approval by the shareholders of the Company.

     For a description of the material features of the Omnibus Plan, please refer to the Company’s Definitive Proxy Statement for the Annual Meeting of Shareholders held on July 22, 2005, a copy of which was filed with the Securities and Exchange Commission (the “Commission”) on June 17, 2005.
