Item 1.01. Entry into a Material Definitive Agreement.
On April 27, 2009, PlanetOut Inc. (the Company or PlanetOut), Stephen P. Jarchow, Paul A.
Colichman and Here Management LLC (collectively referred to as the HMI Owners), Here Networks LLC and Regent
Entertainment Media Inc. (collectively referred to as the HMI Entities), HMI Merger Sub and Here
Media Inc. entered into the First Amendment to Agreement and Plan of Merger (the First
Amendment) amending the Agreement and Plan of Merger dated
January 8, 2009 (the Merger
Agreement). The Merger Agreement is attached as Exhibit 2.1 to the Companys Current Report on
Form 8-K filed on January 14, 2009.
Section 8.1(b) of the Merger Agreement allows either PlanetOut or Here Media Inc. to terminate
the Merger Agreement if the Closing (as defined in the Merger Agreement) has not occurred on or
before April 30, 2009, provided that the right to terminate the Merger Agreement pursuant to
Section 8.1(b) shall not be available to any party whose action or failure to act has been the
cause of or resulted in the failure of the Merger (as defined in the Merger Agreement) to occur on
or before that date and such action or failure to act constitutes a breach of the Merger Agreement.
The First Amendment extends the date in Section 8.1(b) of the Merger Agreement from April 30, 2009
to May 31, 2009.
The Merger Agreement, as modified by the First Amendment, remains in full force and effect.
The First Amendment, which is filed as an exhibit to this current report on Form 8-K, is
incorporated herein by reference. The foregoing description of the First Amendment is qualified in
its entirety by reference to such exhibit.
