Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Effective May 10, 2006, in accordance with our By-laws and Corporate Governance Guidelines which provide that a director’s term of office shall automatically terminate as of the Company’s next annual shareholder meeting following such director attaining the age of 72, Mr. Larry D. Horner retired from our Board of Directors.
