Item 1.01. Entry into a Material Definitive Agreement.
On August 18, 2010, Cardtronics, Inc. (the Company) entered into an Underwriting Agreement
(the Underwriting Agreement) with Piper Jaffray & Co. and UBS Securities LLC (the Underwriters)
and the stockholders of the Company identified as Selling Stockholders in Schedule C thereto (the
Selling Stockholders), pursuant to which the Selling Stockholders agreed to sell 7,000,000 shares
of common stock, par value $0.0001 per share, of the Company (the Shares). Pursuant to the
Underwriting Agreement, the Selling Stockholders have granted the Underwriters a 30-day option to
purchase up to an aggregate of 1,050,000 additional shares from the Selling Stockholders, at the
public offering price, less the underwriting discount. The Shares have been registered under the
Securities Act of 1933, as amended (the Securities Act), pursuant to a Registration Statement on
Form S-3 (Registration No. 333-164395) of the Company, as supplemented by the Prospectus Supplement
dated August 18, 2010 relating to the Shares, filed with the Securities and Exchange Commission
pursuant to Rule 424(b) of the Securities Act on August 19,
2010. Delivery of the
Shares is expected to occur on August 24, 2010, subject to customary closing conditions.
The Company has agreed to indemnify the Underwriters against certain liabilities, including
liabilities under the Securities Act, or to contribute to payments the Underwriters may be required
to make because of any of those liabilities.
The summary of the Underwriting Agreement in this report does not purport to be complete and
is qualified in its entirety by reference to such agreement, which is filed as Exhibit 1.1 hereto.

On August 18, 2010, the Company issued a press release announcing that it had priced the
offering of 7,000,000 shares of common stock to be sold by certain of its stockholders. A copy of
the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.

attached Exhibit 99.1 is deemed to be furnished and shall not be deemed to be filed for
