     On March 17, 2010, The Hartford Financial Services Group, Inc. (the “Company”) issued a press release announcing the pricing of its previously announced public offerings of shares of common stock and depositary shares, with each depositary share representing a 1/40th interest in a share of the Company’s 7.25% mandatory convertible preferred stock.
     The offerings are scheduled to close on or about March 23, 2010.
     A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
