Item 5.05 Amendments to the Registrants Code of Ethics, or Waiver of a Provision of the Code of Ethics.
Effective as of July 14, 2005, The Hartford Financial Services Group, Inc. (The Hartford) amended its Code of Ethics and Business Conduct (the Code of Ethics), which applies to all employees. The amendments to the Code of Ethics incorporate new guidelines for The Hartfords employees related to the insurance quotation process. The amendments to the Code of Ethics also provide additional guidance to employees concerning The Hartfords existing policies that prohibit (i) engaging in unfair or deceptive business acts, (ii) participating in anticompetitive conduct, and (iii) offering, soliciting or accepting bribes.
The Code of Ethics, as amended, is available in the Corporate Governance section of the Companys website at www.thehartford.com, is filed herewith as Exhibit 14.1 to this Form 8-K, and is incorporated herein by reference.
