it has requested the U.S. Securities and Exchange Commission (the “SEC”) to investigate improper
conduct by proxy organizer Michael Shack under the SEC’s rules governing stockholder communications
in connection with the Company’s annual meeting. A copy of the press release is attached as
Exhibit 99.1, and is incorporated herein by reference.
