Item 5.03      Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
 
The board of directors (the "Board") of The Hartford Financial Services Group, Inc. (the "Company") amended the Company’s Amended and Restated By-laws (the “By-laws”) on May 28, 2009.  The sole change was to amend Section 2.4(f) of the By-laws to allow any Assistant Secretary, in addition to the Secretary, to give notice of Board meetings to directors as provided thereunder.
 
The foregoing description of the By-laws amendment does not purport to be complete and is qualified in its entirety by reference to the By-laws, as amended, a copy of which is attached hereto as Exhibit 3.1 and incorporated by reference herein.
