Item 9. Regulation FD Disclosure.

     On November 25, 2003, Select Medical Corporation issued a press release announcing that its Board of Directors has declared an initial quarterly cash dividend of $0.06 per share. After giving effect to the two-for-one stock split announced on November 13, 2003, Select’s quarterly cash dividend will amount to $0.03 per share. A copy of the press release is attached as Exhibit 99.1 to this report.
