8.01 Other Events.
On April
16, 2003, Weingarten Realty Investors (the "Company") filed
a registration statement on Form S-3 (the "Registration
Statement"),
registering 945,800 shares of common shares of beneficial interest to be issued
related to the possible redemption by the Company of the Class A Partnership
Units (the "Units") of
WRI/Raleigh LP. On March 30, 2004, the Company effected a 3-for-2 share split,
and shares began trading on a post-split basis on March 31, 2004. Pursuant to
Rule 416 under the Securities Act of 1933, as amended, the Registration
Statement is deemed to include the common shares of beneficial interest
resulting from the share split.
