Item 8.01 Other Events.

On July 22, 2010, Park City Group, Inc. (the "Company") issued a press release announcing that it had filed an application to list its common stock on the NASDAQ Capital Market. The NASDAQ listing application is subject to review and approval by NASDAQ's Listing Qualifications Department to ensure compliance with all NASDAQ Capital Market Standards. The Company anticipates the NASDAQ review process to last approximately two months or longer before completion. While the Company intends to satisfy all of NASDAQ's requirements for initial listing, no assurance can be given that its application will be approved. The Company's common stock will continue to trade on the OTC Bulletin Board under its current symbol, PCYG, during the NASDAQ review process. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1.
