Remarks: At the last reporting of outstanding shares of common stock, which was in its Form 10-Q for the first quarter of 2018, Farmer Brothers (Issuer) reported that as of May 8, 2018, 16,927,988 shares of its common stock were issued and outstanding.  Following the transactions reported above, the reporting owner, Carol Lynn Farmer Waite, owned beneficially 1,678,972 shares of Farmer Brothers common stock, which is less than 10% of the outstanding shares of common stock.
