Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective January 1, 2017, the Board of Directors of the Registrant approved amendments to the Company's Bylaws to reflect the separation of the roles of Chairman and Chief Executive Officer and the elimination of the role of Lead Independent Director. See sections 7 and 12 of Article III and sections 1, 2 and 3 of Article IV. These amendments did not require shareholder approval.
