Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 14, 2007, Allegiant Travel Company (the "Company") received the resignation of Linda A. Marvin as Chief Financial Officer and Managing Director. Ms. Marvin indicated that she was resigning to pursue personal interests. It is expected that Ms. Marvin will continue to discharge the responsibilities as the Company's chief financial officer until September 30, 2007 and will work with the Company through December 31, 2007 in a transitional capacity. Ms. Marvin's resignation was not the result of any disagreement with the Company or its other executive management relating to the Company's operations, policies or practices.
