ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On January 29, 2019, Crown Castle International Corp. (Company) entered into an underwriting agreement (Underwriting Agreement) with Barclays Capital Inc., J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, MUFG Securities Americas Inc. and TD Securities (USA) LLC, as Representatives for the several Underwriters (Underwriters), pursuant to which the Company agreed to issue and sell to the Underwriters $600,000,000 aggregate principal amount of the Companys 4.300% Senior Notes due 2029 and $400,000,000 aggregate principal amount of the Companys 5.200% Senior Notes due 2049 in a registered public offering (Offering) pursuant to the Companys shelf registration statement on Form S-3 (Registration File No. 333-223921). For a complete description of the terms and conditions of the Underwriting Agreement, please refer to the Underwriting Agreement, which is filed as Exhibit 1.1 hereto, and is incorporated herein by reference.
