Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On June 23, 2014, the Board of Directors of ModusLink Global Solutions, Inc. (the “Company”) approved the Company’s Fourth Amended and Restated Bylaws, effective immediately, which amended the Registrant’s Third Amended and Restated Bylaws (the “Bylaws”) to allow for electronic voting by directors.

The foregoing description of the amendment to the Bylaws is qualified in its entirety by reference to the Fourth Amended and Restated Bylaws, a copy of which is filed as Exhibit 3.1 to this Current Report on Form 8-K and incorporated by reference herein.
