INTRODUCTION:
Good morning, good afternoon and good evening to all of you around the world! Im thrilled to share with you today the news that we will acquire Covidien.
As some of you know, Covidien is a highly respected company in our industry. Our entire senior management team is extremely excited about our future opportunities together.
This transaction has strong strategic benefits for us and our businesses and cultures are complementary.
But first, lets start with our foundation the Medtronic Mission.
This acquisition will further advance our Mission to alleviate pain, restore health and extend life for patients around the world. By combining our companies, we will be able to reach more patients, in more ways, and in more places around the world than we ever could on our own.
Medtronic and Covidien both share an intense focus on patient care and outcomes as the drivers of decision-making and investment priorities. Covidiens culture, like ours, embraces and encourages innovative thinking and the entrepreneurial spirit of employees.
Well join forces to pursue our shared commitment to serve physicians and patients no matter where they are in the world. I know that together, we will achieve great things.
This acquisition also fully supports our three growth strategies of therapy innovation, globalization and economic value and will help strengthen, diversify, and expand our market-leading position.
Covidiens impressive array of industry leading products enhances our existing portfolio, offers greater breadth across clinical areas, and creates exciting entry points into new therapies. In connection with this transaction, Medtronic has committed to invest an incremental $10 billion in U.S. technology over the next decade in the form of early stage ventures, acquisitions and research and development. Ultimately, this will lead to better healthcare systems, both in the U.S. and around the world.
When we add Covidien to our team, we will have a presence in more than 150 countries around the world, including a stronger presence in many emerging markets. Covidien has extensive capabilities in emerging market R&D and manufacturing. These capabilities, applied across a much broader product offering, will significantly increase the number of attractive solutions that we can offer to governments and major providers.
This transaction also enhances our ability to deliver economic value for healthcare systems around the world. We will be able to capitalize on the deep relationships both companies have with healthcare stakeholders, helping us to better address their cost and access needs.
I hope this gives you more insight into why we are so excited about this acquisition. I know you have many questions, which we will answer, but let me address a few important points that we know with certainty right now.
We will continue to operate under the Medtronic brand.
Our operational headquarters will remain in Minneapolis.
And I will be Chairman and CEO.
Because our product portfolios are highly complementary, we expect there to be little impact on jobs or roles for Medtronic employees. As we learn more over the coming weeks and months, we will provide you with updates.
Now let me cover a few additional details of the transaction. We announced that we will adopt a new financial structure, whereby Medtronic will be legally domiciled in Ireland.
Whats important to know in this regard is that nothing really changes we operate as we do today, in the locations that we are in, with the same emphasis and commitment to our Mission.
This was the most efficient financial structure to adopt for our business and it give us the most strategic long-term flexibility.
While these structures may receive media scrutiny in the days and weeks ahead, we firmly believe that this is the best structure, under current law, to bring these two world-class companies together.
Finally, it is critical that all of us continue to remain focused on our current objectives and plans, and that we deliver on our FY15 business commitments.
This is a very exciting and historic day for Medtronic, and I look forward to working with you to pursue the many opportunities ahead of us.

Dealing Disclosure Requirements
Under the provisions of Rule 8.3 of the Irish Takeover Panel Act, 1997, Takeover Rules 2013 (the Irish Takeover Rules), if any person is, or becomes, interested (directly or indirectly) in, 1% or more of any class of relevant securities of Covidien or Medtronic, all dealings in any relevant securities of Covidien or Medtronic (including by means of an option in respect of, or a derivative referenced to, any such relevant securities) must be publicly disclosed by not later than 3:30 pm (Irish time) on the business day following the date of the relevant transaction.
