EXPLANATORY NOTE
This Registration Statement on Form S-8 is filed by Boyd Gaming Corporation (referred to herein as the Registrant, we, our, or us) and relates to 4,000,000 shares of our common stock, par value $.01 per share (the Common Stock), issuable to our eligible directors, employees and consultants under the Boyd Gaming Corporation 2012 Stock Incentive Plan (the Plan). The Plan is an amendment, restatement and continuation of the Registrants 2002 Stock Incentive Plan, which expired in 2012, but continues to govern prior awards until all awards granted under the Registrants 2002 Stock Incentive Plan have been exercised, forfeited, canceled, expired or otherwise termination in accordance with the terms of such grants.
