EXPLANATORY NOTE
This Registration Statement on Form S-8 is filed by BBCN Bancorp, Inc., a Delaware corporation (BBCN), relating to 2,364,425 shares of Common Stock, par value $0.001 per share (the Common Stock), of BBCN to be offered pursuant to BBCNs assumption of the outstanding options and restricted stock awards granted under the Center Financial Corporation 2006 Stock Incentive Plan (the Plan) and for future grants of options and restricted stock awards previously authorized under the Plan, in each case in connection with the merger of Center Financial Corporation, a California corporation (Center), with and into Nara Bancorp, Inc., a Delaware corporation (Nara), with Nara surviving the merger under the new corporate name BBCN Bancorp, Inc. The merger of Center and Nara was completed on November 30, 2011.

Lisa K. Pai, the Executive Vice President and Chief Legal Officer of BBCN, has delivered a legal opinion to the effect that the issuance and sale of the Common Stock offered hereby was duly authorized by BBCN, as successor to Center, and that such Common Stock will be validly issued, fully paid and nonassessable when issued pursuant to the Plan. Ms. Pai currently holds options granted under the Plan to purchase 21,580 shares of Common Stock, which in the aggregate accounts for less than 0.1% of the outstanding Common Stock on a fully diluted basis.
Item 6 | Indemnification of Directors and Officers |
BBCN was formed and is governed under the provisions of the Delaware General Corporation Law (DGCL). Section 145 of the DGCL provides that a corporation may indemnify directors and officers as well as other employees and individuals against expenses (including attorneys fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by such person in connection with any threatened, pending or completed actions, suits or proceedings in which such person is made a party by reason of such person being or having been a director, officer, employee of or agent to the corporation. The statute provides that it is not exclusive of other rights to which those seeking indemnification may be entitled under any bylaw, agreement, vote of stockholders or disinterested directors or otherwise.
Section 102(b)(7) of the DGCL permits a corporation to provide in its certificate of incorporation that a director of the corporation shall not be personally liable to the corporation or its stockholders for monetary damages for breach of fiduciary duty as a director, except: (i) for any breach of the directors duty of loyalty to the corporation or its stockholders, (ii) for acts or omissions not in good faith or which involve intentional misconduct or a knowing violation of law, (iii) under Section 174 of the DGCL, or (iv) for any transaction from which the director derived an improper personal benefit.
Article IX of BBCNs certificate of incorporation provides that BBCN shall, to the fullest extent permitted by Section 145 of the DGCL, as it may be amended and supplemented from time to time, indemnify any and all directors and officers whom it shall have the power to indemnify under Section 145 of the DGCL from and against any and all of the expenses, liabilities, or other matters referred to or covered by said section, and the indemnification provided for therein shall not be deemed exclusive of any other rights to which those indemnified may be entitled under any bylaw, agreement, vote of stockholders or disinterested directors or otherwise, both as to action in their official capacities and as to action in another capacity while holding such office, and shall continue as to a person who has ceased to be a director or officer, and shall inure to the benefit of the heirs, executors, and administrators of such a person. To the fullest extent permitted by the DGCL, as it may be amended and supplemented from time to time, a director of BBCN shall not be liable to it or its stockholders for monetary damages for breach of fiduciary duty as a director.
Article VI of BBCNs bylaws provides that BBCN shall indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative (other than an action by or in the right of BBCN) by reason of the fact that the person is or was a director or officer of BBCN, or is or was serving at the request of BBCN as a director or officer of another corporation, partnership, joint venture, trust, employee benefit plan or other enterprise, against expenses (including attorneys fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by the person in connection with such action, suit or proceeding if the person acted in good faith and in a manner the person reasonably believed to be in or not opposed to the best interests of BBCN, and, with respect to any criminal action or proceeding, had no reasonable cause to believe his or her conduct was unlawful.
Article VI of BBCNs bylaws also provides that BBCN shall indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action or suit by or in the right of BBCN to procure a judgment in its favor by reason of the fact that the person is or was a director or officer of BBCN, or is or was serving at the request of BBCN as a director or officer of another corporation, partnership, joint venture, trust, employee benefit plan or other enterprise against expenses (including attorneys fees) actually and reasonably incurred by the person in connection with the defense or settlement of such action or suit if the person acted in good faith and in a manner the person reasonably believed to be in or not opposed to the best interests of BBCN; except that no indemnification shall be made in respect of any claim, issue or matter as to which the person shall have been adjudged to be liable to BBCN unless and only to the extent that the court in which such action or suit was brought shall determine upon application that, despite the adjudication of liability but in view of all the circumstances of the case, the person is fairly and reasonably entitled to indemnity for such expenses which the court shall deem proper.
Any indemnification under Article VI of BBCNs bylaws, unless ordered by a court, shall be made by BBCN only as authorized in the specific case upon a determination that indemnification of the director or officer is proper in the circumstances because he has met the applicable standard of conduct set forth in Article VI.
BBCN also maintains a directors and officers insurance policy which insures the directors and officers of BBCN against liability asserted against such persons in such capacity whether or not such directors or officers have the right to indemnification pursuant to the bylaws or otherwise.
The foregoing is only a general summary of certain aspects of the DGCL and BBCNs certificate of incorporation and bylaws dealing with indemnification of directors and officers, and does not purport to be complete.
