Change in Fiscal Year-End
The Company announced in January 2011 that it had changed its fiscal year from a calendar year ending on December 31 to a fiscal year ending on the last Sunday of January of each year. In connection with this change to its fiscal year, the Company had a transition period of thirty days ending on January 30, 2011 (the Transition Period). Its fiscal quarters now consist of thirteen weeks. The Company presented recast financial statements for the quarter ended May 2, 2010 in its June 2, 2011 earnings release that reported financial results for the quarter ended May 1, 2011, as well as in the Companys Quarterly Report on Form 10-Q for the quarter ended May 1, 2011. The Company plans to include recast second quarter and third quarter 2010 financial results in its quarterly earnings releases and its Quarterly Reports on Form 10-Q for the second and third quarters of fiscal 2011 and recast fourth quarter 2010 financial results in its earnings release for the fourth quarter of fiscal 2011. The Company will include financial statements as of and for the calendar year-ended December 31, 2010 and as of and for the Transition Period ended January 30, 2011 in its Annual Report on Form 10-K for the fiscal year-ended January 29, 2012 and will not include full year recast financial statements for the period ended January 30, 2011 in the fiscal 2011 Form 10-K.
Unaudited Financial and Operational Data for the Periods ended May 2, 2010, August 1, 2010, October 31, 2010 and January 30, 2011
A Schedule of Unaudited Financial and Operational Data on a recast basis for each of the thirteen week periods ended May 2, 2010, August 1, 2010, October 31, 2010 and January 30, 2011 is included in Exhibit 99.1 attached to this Form 8-K. The Schedule of Unaudited Financial and Operational Data for the recast thirteen week periods includes financial information, including pro forma financial information, prepared in accordance with U.S. generally accepted accounting principles (GAAP), as well as financial information that has been adjusted, and is presented on a non-GAAP basis, as described in the Schedule. The Companys use of non-GAAP financial measures and its presentation of financial information on a pro forma basis is discussed in Exhibit 99.1.
