The annual meeting of stockholders of MAP Pharmaceuticals, Inc. (the Company) was held pursuant to notice on May 19, 2011 for the purposes of: (1) electing two Class I directors for a three-year term or until the election and qualification of their successors; (2) ratifying the appointment of PricewaterhouseCoopers LLP as the Companys independent registered public accounting firm for the 2011 fiscal year; (3) seeking an advisory (non-binding) vote to approve executive compensation; and (4) seeking an advisory (non-binding) vote to recommend the frequency of future stockholder voting on executive compensation every one, two or three years. Proxies for the meeting were solicited pursuant to Section 14(a) of the Securities Exchange Act of 1934, as amended, and there was no solicitation in opposition of managements solicitations. There were present at the meeting, in person or represented by proxy, the holders of 28,631,331 shares of Common Stock. The final vote on the proposals was recorded as follows:
