Item 5.02 Departure of Directors or Principle Officers; Election of Directors; Appointment of Principle Officers

On August 28, 2007, Mr. Richard Arnold resigned as a member of the Board of Directors of St. Bernard Software, Inc., a Delaware corporation (the “Company”). He also resigned as chairman and a member of the Audit Committee of the Board of Directors of the Company. The Company intends to appoint Mr. Scott Broomfield, currently a member of the Board of Directors of the Company, as chairman of the Audit Committee, replacing Mr. Arnold.
