Item 1.01 | Entry into a Material Definitive Agreement |
On May 23, 2007, Dolby Laboratories, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with the Selling Stockholder (as defined below) and Goldman, Sachs & Co. and J.P. Morgan Securities Inc., as representatives of the underwriters named in the Underwriting Agreement (the Underwriters), relating to the public offering and sale of 7,000,000 shares of the Companys Class A common stock (the Offering) by the Ray Dolby Trust under the Dolby Family Trust instrument, dated May 7, 1999 (the Selling Stockholder). The Selling Stockholder is an affiliate of Ray Dolby, the Companys founder, chairman of the board of directors and, together with his affiliates, largest stockholder.
The public offering price of the shares of Class A common stock offered is $32.00 per share, and the Underwriters have agreed, subject to conditions, to purchase all of the 7,000,000 shares of the Companys Class A common stock from the Selling Stockholder pursuant to the Underwriting Agreement. Also pursuant to the Underwriting Agreement, to the extent that the Underwriters sell more than 7,000,000 shares of Class A common stock, the Underwriters have the option to purchase up to an additional 1,000,000 shares of Class A common stock from the Selling Stockholder.
The Offering is being made pursuant to the Companys registration statement on Form S-3 (Registration No. 333-142988), which was previously filed with the Securities and Exchange Commission. The Underwriting Agreement is filed as Exhibit 1.1 to this report and is incorporated herein by reference.
