On May 6, 2004, SBA Communications Corporation (the “Company”) issued a press release announcing, among other things, that as a result of the Company’s periodic review of the services business segment, its strategic benefits and minimum profitability targets, the Company has decided to sell its services business in the western portion of the United States. A copy of the press release is attached as Exhibit 99.1.

 

Item 12. Results of Operations and Financial Condition

 

On May 6, 2004, the Company issued a press release announcing its financial and operational results for the first quarter ended March 31, 2004 and updating its guidance for 2004. A copy of the press release is attached as Exhibit 99.1.
